MatchPoint AI Platform Acceptable Use Policy
Effective 8 June 2026
This Acceptable Use Policy (the "Policy") sets out the rules and restrictions governing your use of the MatchPoint platform operated by Matchpoint Pte. Ltd. (UEN: 202552680Z) (the "Company"). This Policy is incorporated into and forms part of the Terms and Conditions and the Privacy Policy governing your use of the Platform. All definitions used in this Policy have the same meaning as given to them in the Terms and Conditions, unless otherwise defined herein.
By using the Platform, you agree to comply with this Policy. The Company reserves the right to amend this Policy at any time. Your continued use of the Platform following any amendment constitutes your acceptance of the amended Policy.
1. Permitted Uses
The Platform is designed for use by mining investors, analysts, consultants and professionals for the purposes of:
- uploading Technical Reports for AI Extraction;
- reviewing and using Extracted Data to facilitate internal research, analysis and due diligence;
- benchmarking mining projects against the Company's curated database of industry-reference projects; and
- exporting Extracted Data for internal business purposes. For this clause 'internal business purposes' shall mean using Extracted Data to inform the User's own investment, financing, mergers and acquisition and/or research decisions, and does not include reselling, redistributing or publishing Extracted Data to third parties as a standalone product.
2. Prohibited Uses
You must not use the Platform for any of the following prohibited purposes:
2.1 Unlawful Activity
- using the Platform for any purpose that is unlawful, fraudulent or otherwise in violation of any applicable law or regulation in Singapore or any other jurisdiction;
- using the Extracted Data or any Content generated by the Platform in connection with any transaction that contravenes applicable securities laws, capital markets regulations or anti-money laundering laws;
- using the Platform to process or disseminate any material that constitutes or could constitute financial advice, investment advice, regulated capital markets services or securities recommendations to any third party, without holding the applicable licence or exemption required under the Securities and Futures Act 2001 of Singapore (or equivalent legislation in the relevant jurisdiction).
2.2 Prohibited Content
- uploading any Technical Report or other material that infringes the Intellectual Property rights of any third party;
- uploading any material that is defamatory, obscene, offensive, discriminatory, or that promotes violence, hatred or illegal activity;
- uploading any material that contains or transmits viruses, malware, ransomware, spyware or any other harmful code;
- uploading any material that you do not have the legal right to use or share.
2.3 Misuse of the Platform
- attempting to gain unauthorised access to any part of the Platform, including its underlying systems, databases, servers or networks;
- circumventing, disabling or otherwise interfering with any security feature of the Platform, including any feature that prevents or restricts the use or copying of any Content;
- using any automated tool, bot, scraper, spider, crawler or script to access, monitor or copy the Platform or any Content without the Company's prior written consent;
- conducting any denial-of-service attack or any other action that impairs or disrupts the Platform's performance, availability or security;
- reverse engineering, decompiling, disassembling or otherwise attempting to derive the source code of the Platform or any component thereof;
- using the Platform in a manner that exceeds the upload quota or other usage limits applicable to your Plan, or attempting to circumvent such limits.
2.4 Prohibited Commercial Activity
- reselling, sublicensing, redistributing or otherwise making the Platform or any Content available to any third party for commercial gain without the Company's prior written consent;
- using the Platform to develop or train any artificial intelligence model designed to extract structured data from mining technical reports, or to compete with the Platform;
- reproducing, republishing or commercially exploiting any Extracted Data or Content obtained from the Platform in any manner not expressly permitted by the Terms.
2.5 Account Misuse
- sharing your Account credentials with any third party or permitting any other person to access the Platform using your Account;
- creating multiple Accounts for the same individual or entity for the purpose of circumventing the features or usage limits applicable to your Plan; and
- providing false, misleading or incomplete information when registering for an Account or at any time during your use of the Platform.
2.6 Public Disclosure
- sharing or making publicly available any Extracted Data, Content or screenshots from the Platform, without the Company's prior and express written consent.
3. Regulatory Compliance
The Platform is a data extraction and structuring tool. The Extracted Data and Content generated by the Platform do not constitute financial advice, investment advice, or any regulated financial service. The Company does not hold and has not applied for a capital markets services licence or any other financial services licence under the Securities and Futures Act 2001 of Singapore.
If you intend to use the Extracted Data in connection with any regulated activity, including but not limited to preparing research reports for distribution to investors, providing investment recommendations, or offering advisory services to third parties, you are solely responsible for ensuring that your use of the Platform and the Extracted Data complies with all applicable laws and regulations, including the Securities and Futures Act 2001 and any relevant licensing requirements. The Company strongly recommends that you obtain independent legal and regulatory advice in this regard.
You acknowledge and agree that the Company may report any use of the Platform that it reasonably suspects constitutes a breach of applicable law to the relevant regulatory or law enforcement authorities.
4. Content Standards
All Technical Reports and other materials uploaded to the Platform must comply with the following content standards:
- the material must be lawful in Singapore and in the jurisdiction from which it is uploaded;
- the material must not infringe the Intellectual Property rights of any third party;
- the material must not contain viruses, malware or other harmful code; and
- you must have the legal right to upload and process the material through the Platform.
5. Consequences of Breach
The Company may, in its sole discretion, determine that a breach of this Policy has occurred. Upon making such a determination, the Company may take all or any of the following actions, depending on the nature and severity of the breach:
- issuing a warning to you;
- temporarily or permanently suspending your access to the Platform;
- permanently deactivating your Account;
- removing or disabling any material uploaded by you that the Company determines violates this Policy;
- commencing legal proceedings against you for all losses and damages arising from your breach, including legal costs on a full indemnity basis; and/or
- disclosing information about your use of the Platform to law enforcement or regulatory authorities.
The Company's rights under this clause are without prejudice to any other rights or remedies available to the Company at law or under the Terms.
6. Reporting Violations
If you become aware of any use of the Platform that you believe violates this Policy, please report it to the Company at support@matchpoint-ai.com. The Company will investigate all reports and take such action as it deems appropriate.
7. Governing Law
This Policy shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with this Policy shall be subject to the exclusive jurisdiction of the courts of Singapore.
